Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DentsKart platform, including the website at dentskart.com, web application, APIs, and related services (collectively, the "Service"). The Service is provided by DentsKart ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a dental clinic or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

1. Service Description

DentsKart is a Software-as-a-Service (SaaS) platform that provides AI-powered dental practice management tools for dental clinics in India. The Service includes, but is not limited to:

• Patient records management and electronic dental records
• Appointment scheduling and calendar management
• Treatment planning, tracking, and clinical note generation
• Billing, invoicing, and payment tracking
• WhatsApp-based patient communications (appointment reminders, follow-ups, birthday wishes)
• AI-powered clinical summaries, treatment suggestions, and smart features
• Revenue analytics, reports, and business intelligence dashboards
• Public clinic profile pages for patient discovery
• Data export capabilities in Excel and PDF formats

The Service is provided on an "as is" and "as available" basis. We continuously improve and update the platform and may add, modify, or discontinue features with reasonable notice.

2. Account Registration

• You must provide accurate, complete, and current information during registration. You agree to update your information as needed to maintain accuracy.
• You must be a licensed dental professional or an authorized representative of a dental clinic to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at support@dentskart.com if you suspect unauthorized access to your account.
• Each clinic account may have multiple staff members with role-based access controls (Owner, Dentist, Receptionist). The account owner is responsible for managing staff access and permissions.
• We reserve the right to refuse registration, suspend, or terminate accounts that violate these Terms or provide false information.

3. Subscription & Billing

3.1 Plans & Pricing

• DentsKart offers subscription plans billed on a monthly or annual basis. Current pricing is displayed on our website and within the application.
• Annual subscriptions are billed upfront for the full year at a discounted rate compared to monthly billing.
• We reserve the right to modify pricing with at least 30 days' prior notice. Price changes will not affect your current billing cycle and will take effect at the next renewal.

3.2 Free Trial

• New users may be eligible for a free trial period as advertised at the time of registration. The trial provides full access to the platform's features.
• No payment information is required to start a free trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.
• We reserve the right to modify or discontinue free trial offers at any time without prior notice.
• Data entered during the free trial will be preserved when you subscribe to a paid plan.

3.3 Payment Processing

• All payments are processed securely through Razorpay, a PCI-DSS Level 1 compliant payment gateway. We do not store your credit/debit card details on our servers.
• Accepted payment methods include credit cards, debit cards, UPI, net banking, and other methods supported by Razorpay.
• GST (Goods and Services Tax) will be applied as per applicable Indian tax laws. A GST invoice will be provided for each payment.
• Subscriptions auto-renew at the end of each billing cycle unless canceled before the renewal date.

3.4 Refunds & Cancellation

• Monthly subscriptions: You may cancel at any time. The cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
• Annual subscriptions: You may cancel at any time. A prorated refund for unused complete months may be provided at our discretion within the first 90 days of the subscription. After 90 days, no refunds are provided.
• To cancel your subscription, use the billing settings within the application or contact support@dentskart.com.

4. Data Portability & Export

We believe your data belongs to you. DentsKart provides comprehensive data export capabilities:

• Excel Export: Export patient records, appointment history, treatment records, billing data, and analytics reports in Microsoft Excel (.xlsx) format.
• PDF Export: Generate PDF reports for treatment plans, invoices, prescriptions, patient summaries, and financial reports.
• Export features are available at any time during your active subscription, including during the cancellation grace period.
• Upon account termination, you will have 90 days to export your data before it is scheduled for deletion.
• We will not hold your data hostage. If you experience difficulty exporting your data, contact our support team for assistance.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

• Use the Service for any purpose other than managing a legitimate dental practice or related healthcare operations.
• Attempt to gain unauthorized access to other clinics' data, accounts, or systems connected to the Service.
• Upload or transmit viruses, malware, or any code designed to interfere with the Service's functionality.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Use automated scripts, bots, or scrapers to access the Service without prior written consent.
• Share, resell, or sublicense your access to the Service to third parties without our express written permission.
• Enter false, misleading, or fabricated patient data for non-clinical purposes.
• Use the AI features to generate medical advice for direct patient consumption without professional review. AI-generated content is a clinical aid, not a substitute for professional judgment.
• Violate any applicable laws, regulations, or professional codes of conduct, including the Dentists Act, 1948 and applicable state dental council regulations.

6. Intellectual Property

• Our IP: The Service, including its design, code, features, AI models, algorithms, documentation, trademarks, and branding, is the exclusive property of DentsKart and its licensors. These Terms do not grant you any ownership rights in the Service.
• Your Data: You retain all ownership rights to the data you enter into the Service, including patient records, clinic information, and uploaded files. We do not claim ownership of your data.
• License to Us: You grant us a limited, non-exclusive license to use, process, and store your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.
• Feedback: If you provide suggestions, feedback, or ideas for improvements, you grant us the right to use such feedback without obligation or compensation to you.
• Aggregated Data: We may use anonymized, aggregated data derived from Service usage for analytics, research, benchmarking, and product improvement. Such data will never identify individual clinics or patients.

You agree to indemnify, defend, and hold harmless DentsKart, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any data you enter into the Service; or (e) your failure to obtain appropriate patient consent for data collection and processing.

9. Termination

• By You: You may terminate your account at any time by contacting support@dentskart.com or using the account settings within the platform. Upon termination, you will have 90 days to export your data.
• By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees after reasonable notice, or if required by law.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately (except for the data export grace period). Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
• Data After Termination: Your data will be retained in read-only mode for 90 days following termination to allow for data export. After the 90-day period, data will be permanently deleted in accordance with our Privacy Policy.

10. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
• Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
• Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
• If the dispute is not resolved through negotiation, either party may initiate arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, in Bangalore, by a sole arbitrator mutually agreed upon by the parties.

11. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and DentsKart regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Force Majeure: We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, pandemics, government actions, or internet infrastructure failures.
• Modifications: We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
